TERMS OF USE
Agreement to the Terms- These Terms of Use (referred to as the "Terms") create a legally binding agreement between you and Ghbuysell Online Marketplace Ghana Limited, including its affiliated companies (collectively referred to as the "Administrator," "we," or "us"). It's important that you carefully read through these Terms.
- Your use of the Ghbuysell.com.gh website as well as any services, content, or data provided (referred to collectively as the "Service" or the "Platform"), is subject to these Terms.If you disagree with any portion of these Terms, or if you are not eligible or authorized to accept them, please refrain from accessing or using the Service.
- We also encourage you to review our Privacy Policy. The terms of the Privacy Policy and any other additional terms, rules, policies, or documents that may be posted on the Platform from time to time are hereby incorporated into these Terms by reference. We reserve the right, at our sole discretion, to amend or modify these Terms at any time and for any reason, with or without prior notice."
Important Disclaimers
- All services provided by the Administrator are offered on an "as is," "as available," and "with all faults" basis. The Administrator explicitly disclaims all warranties, whether expressed or implied, including but not limited to any guarantees regarding condition, quality, lifespan, performance, accuracy, reliability, commercial value, and suitability for specific purposes. All such warranties and liabilities are hereby excluded.
- The Administrator does not have control over and cannot guarantee the existence, quality, safety, or legality of goods and services listed by users on the Platform. This includes the reliability or accuracy of information provided by users in their listings, the ability of sellers to deliver goods or services, the ability of buyers to make payments, or the completion of transactions by users. The Administrator also does not guarantee that the manufacturing, import, export, offering, displaying, purchase, sale, advertising, and/or use of products or services listed on the Platform do not infringe on any third-party rights. Therefore, the Administrator expressly disclaims any liability in connection with materials and information posted by users on the Platform.
- Users are advised to inspect goods before making payment and to request sellers to provide documents confirming compliance of the goods with applicable legal requirements, regulations, rules, guidelines, and standards.
- Users acknowledge that they are solely responsible for their safety and should arrange meetings with other individuals for transactions only in safe public places during daylight hours. Users are solely responsible for conducting due diligence on any individual or organization requesting a meeting for a job interview or to complete a transaction. The Administrator disclaims any responsibility for users' interactions with any individual or organization."
Account Registration
- To access certain features of the Service, you may be required to register an account on the Platform (referred to as the "Account") and provide specific information about yourself as prompted by the registration form.
- You have the option to create an Account either as an individual or as an authorized representative of a company.
- Each user is permitted to register only one Account. If multiple individuals access the same Account from a single device, we may request proof of identity to prevent duplicate accounts.
- You understand and agree that you are solely responsible for safeguarding and maintaining the confidentiality of your Account access details. You are fully accountable for any activities carried out using your Account access details.
- By registering an Account, you confirm that you have attained the age of majority or are accessing the Service under the supervision of a parent or legal guardian. Minors (typically individuals under the age of 18) must obtain permission from their parent or guardian and be directly supervised by them to use the Service. If you are a minor, your parent or guardian must read and agree to these Terms before you can use the Service.
- We reserve the right to suspend or terminate your Account or access to the Service, with or without prior notice, in the event of any breach of these Terms.
- You agree to promptly inform us of any unauthorized use or suspected unauthorized use of your Account or any other security breach. We shall not be liable for any loss or damage resulting from your failure to adhere to the above obligations.
Indemnity
- You agree to indemnify and hold harmless the Administrator, its successors, subsidiaries, affiliates, related companies, suppliers, licensors, partners, and the officers, directors, employees, agents, and representatives of each of them from any claim or demand, including costs and attorneys’ fees, made by any third party due to or arising out of: (i) your use of the Platform; (ii) your User Content; (iii) your breach of any representation, warranty, covenant, or obligation outlined in these Terms; (iv) your violation of any applicable law, industry standard, regulation, guideline, or rule; (v) any transaction conducted by you via the Platform or your violation of the terms of such transaction. The Administrator reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.
Intellectual Property Rights
- Any information you provide to us during registration, as well as any data, text, images, and other materials you submit or post on the Platform (referred to as "User Content"), remain your intellectual property. The Administrator does not assert any ownership over the copyright or other proprietary intellectual property rights in such registration information and User Content. However, you agree that the Administrator may retain copies of all registration information and User Content and utilize such information and User Content as reasonably necessary for or incidental to the operation of the Service, as outlined in these Terms and the Privacy Policy.
- By using the Service, you grant the Administrator a non-exclusive, worldwide, transferable, perpetual, irrevocable right to copy, modify, adapt, store, publish, distribute, publicly display and perform, communicate, and make the User Content available to the public in connection with the Service. This includes the use and publication of User Content on affiliated websites, as well as for the Administrator's marketing, advertising, and other purposes.
- You agree, represent, and warrant that your use of the Service or any part thereof will not infringe upon or violate the rights of any other party, nor breach any contract or legal obligation to any other parties.
- Materials on the Platform, excluding those posted by users, such as texts, software, scripts, graphics, photos, sounds, music, videos, interactive functions, etc. ("Materials"), as well as trademarks, service marks, and logos contained therein ("Marks"), are owned by or licensed to the Administrator and are protected by copyright and other intellectual property rights. - These Terms shall be governed by the laws of Ghana.
Any dispute, controversy, or claim arising out of or relating to this contract, or its breach, termination, or invalidity, shall be resolved by the Ghana Arbitration Centre in accordance with its Rules. The language used in the arbitral proceedings shall be English.
Miscellaneous Provisions
- Unless otherwise stated, if any provision of these Terms is deemed invalid, void, or unenforceable for any reason, that provision shall be removed, but the validity and enforceability of the remaining provisions shall remain unaffected.
- We reserve the right to transfer and assign any or all of our rights and obligations under these Terms to any other party, through any means, including by novation. By accepting these Terms, you consent to any such transfer or assignment.
- Failure on our part to take action regarding your breach of these Terms does not waive our right to enforce our rights and remedies in any other situation where you breach these Terms.
- The Administrator shall not be held liable for any failure to comply with these Terms to the extent that such failure arises from factors beyond the Administrator's reasonable control.
